(Note: this is a copy of the material planned for distribution to members with the notice of meeting and need not be made up of separate documents);
Note the proposed alterations must be approved by CBS before the resolution altering the rules is passed by the co-operative in general meeting. Application for CBS approval must be made using Form 5.
- A copy of the proposed special resolution should also be given to CBS with this application.
- Form 5 requires the supply of the following information:
- a. If a complete alteration is being made to the rules, include a completed checklist which is an attachment to Form 5;
- b. A statement stating the reasons for the alteration;
- c. In respect of the proposed special resolution include
- i. a copy of the proposed special resolution under section 187(4);
- ii. a draft copy of the intention to propose the special resolution (s187(3)(a));
- iii. a draft copy of the reasons for proposing the special resolution (s187(3)(b));
- iv. a draft copy of the effect of the special resolution being passed (s187(3)(c)).
- The prescribed fee must accompany this application for approval of proposed alteration of rules.
- Once CBS approval of the draft proposed alteration of rules has been received, and after the 28 day period referred to in clause 1 has expired, the co-operative must then give to its members 21 days notice stating the intention to propose a special resolution, the reasons for proposing the special resolution and the effect of the special resolution being passed (including the requirements under section 122 of the Act in respect to active membership provisions). Notice to members must be given in a way stated in section 451 of the Act.
